HOW TO BECOME An Eristotle ADVISOR?

This Independent Consultant Agreement (“Agreement”) governs your engagement as an independent advisor or consultant (“Consultant”) for Eristotle (“Eristotle”), a provider of specialized consulting services in areas including cybersecurity, artificial intelligence, cyber warfare, and related technology sectors (collectively, the Services”). By accepting this Agreement, you confirm your acceptance of all terms and conditions set forth below.

Overview

Eristotle provides consulting services to clients in sectors such as finance, technology, government, and defense (each a “Client”). Eristotle selects suitable Consultants based on the specific requirements of Clients for engagements including teleconferences, in-person meetings, advisory services, research activities, or other professional engagements (each a “Project”).

Conditions of Engagement

Consultant participation in any Project is conditional upon adherence to the following:

• Your engagement must not present any conflict of interest or breach any legal, ethical, or contractual obligations with current or previous employers or clients.
• You must not disclose confidential or proprietary information of any third party, nor divulge material non-public information.
• Your engagement must comply fully with all applicable laws, regulations, and ethical standards.
• You retain the right to decline participation in any Project or to withdraw from any Project at your discretion at any time.

Restrictions Regarding Current Employment and Competitors

Consultants agree not to participate in Projects involving organizations with which they currently hold employment, directorship, trusteeship, or board positions unless explicitly approved in writing by Eristotle. Consultants shall also avoid Projects involving direct competitors of their current employers.

Government Employees

Government employees must ensure compliance with all applicable laws and regulations governing external consulting engagements. Consultants employed by government entities must decline engagements related to their official duties or areas regulated or overseen by their employing agency.

Confidentiality

Consultants must maintain absolute confidentiality concerning all information obtained during Projects, including client identities, project details, proprietary data, strategies, technology, or other non-public information (“Confidential Information”). Disclosure or unauthorized use of Confidential Information is strictly prohibited.

Compliance and Conduct

Consultants must act ethically and lawfully, avoiding any actions that could reflect negatively on Eristotle or Clients. Providing false or misleading information about your professional background or capabilities is strictly prohibited.

Compensation and Payment

Eristotle will compensate Consultants according to mutually agreed-upon rates for completed Projects. Consultants are responsible for submitting invoices within 30 days following the completion of a Project. Payments will typically be processed within 30 days of invoice receipt.

Independent Contractor Status

The Consultant shall operate strictly as an independent contractor, not an employee or agent of Eristotle or any Client. The Consultant is responsible for all taxes and statutory obligations arising from this Agreement and is not entitled to any employment benefits from Eristotle or Clients.

Intellectual Property

Consultants warrant that materials and knowledge provided during Projects are their own or appropriately licensed for use. Intellectual property created specifically for Clients during Projects shall be owned by the respective Clients. Consultants retain ownership of pre-existing intellectual property, but grant Clients a non-exclusive, perpetual, worldwide license to utilize such intellectual property provided during Projects.

Non-Solicitation and Non-Circumvention

For one year following the completion of any Project, Consultants shall not solicit, directly engage, or circumvent Eristotle to provide services independently to Clients initially introduced by Eristotle without prior written consent.

Indemnification and Limitation of Liability

Consultants agree to indemnify and hold harmless Eristotle and Clients from any liabilities, claims, damages, or costs resulting from their breach of this Agreement or misconduct during Project engagements. Neither party shall be liable for indirect, consequential, or punitive damages arising from this Agreement.

Termination

Either party may terminate this Agreement at any time upon written notice. Obligations regarding confidentiality, intellectual property, non-solicitation, indemnification, and limitation of liability shall survive termination.

Arbitration and Governing Law

This Agreement shall be governed by the laws of [Jurisdiction, e.g., State of Delaware]. Any disputes arising from this Agreement shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association in [Location, e.g., Wilmington, Delaware].

Modifications and Entire Agreement

This Agreement constitutes the entire understanding between the Consultant and Eristotle and supersedes all previous agreements. Any modification must be in writing and agreed to by both parties.

Acceptance

By accepting this Agreement, you confirm that you have read, understood, and agree to comply with all terms herein and confirm your authority and capacity to enter into this Agreement.
